Term of Payment Agreement

TERMS OF AGREEMENT FOR UNAUTHORIZED USE OF COPYRIGHTED MEDIA CONTENT

This Terms of Agreement ("Agreement") is entered into as of the date of the infringing party's acknowledgment ‘effective date") between:

Tony Brands, a legally registered entity with its principal place of business at [Your Address], and

Infringer, an individual or entity found to have used the copyrighted media content of the Tony Brands without authorization.

ACKNOWLEDGMENT OF INFRINGEMENT The Infringer acknowledges and agrees that they have used, distributed, reproduced, displayed, or otherwise exploited the copyrighted media content owned by the Tony Brands without prior authorization, in violation of copyright laws.

PAYMENT FOR UNAUTHORIZED USE In consideration of resolving this matter without further legal action, the Infringer agrees to compensate the Company as follows:

a) A base penalty fine of $125 per unauthorized use of Tony Brands’ copyrighted media content.

b) Distributed Penalty fine of $300 per infringer unauthorized distributing of Tony Brands media content, including but not limited to loss of revenue and reputational harm to our media brand name.

c) Payment shall be made in full within 12 days of the effective date to the Tony Brands via Stripe Payment Processor.

REMOVAL AND NON-USE OBLIGATION The Infringer shall immediately remove all instances of the unauthorized use of the Tony Brands' media content from all platforms, websites, and digital or physical locations and cease any further use.

FUTURE USE LICENSE REQUIREMENT If the Infringer wishes to legally use any copyrighted media content of the Tony Brands in the future, they must obtain a formal license by contacting the Company and paying the applicable licensing fees.

NON-DISPARAGEMENT The Infringer agrees not to make any false, misleading, or defamatory statements regarding the Tony Brands in relation to this matter.

LEGAL CONSEQUENCES OF NON-COMPLIANCE Failure to comply with the terms of this Agreement shall result in the Tony Brands pursuing legal action against the Infringer for copyright infringement, where the Tony Brands may seek statutory damages, punitive damages, attorney’s fees, and injunctive relief.

GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the North Carolina in the United States of America, and any disputes arising hereunder shall be resolved in the courts of the same jurisdiction.

BINDING AGREEMENT This Agreement constitutes a legally binding contract. By making a payment to Tony Brands, the Infringer acknowledges and agrees to abide by all terms herein.
