CONTENT LICENSING AGREEMENT

This Content Licensing Agreement ("Agreement") is made and entered into as of current date, by and between:

Licensor: Content Creator’s Name

Licensee: Tony Brands LLC

1. Grant of Rights Licensor grants Licensee the exclusive/non-exclusive right to publish, distribute, and monetize the media content listed in Exhibit A (the "Content") to third parties, including but not limited to YouTube, streaming platforms, and digital media outlets.

2. Term This Agreement shall commence on [Start Date] and continue for a period of 2 years unless terminated earlier by either party pursuant to Section 9 (Termination).

3. Compensation & Profit Sharing (a) Licensee agrees to share profits derived from YouTube monetization and other licensing revenues as follows:

• Licensor shall receive 60% of net revenue from YouTube monetization and licensing fees.

• Licensee shall retain 40% of net revenue for administrative, marketing, and promotional services.

(b) Payments shall be made on a monthly basis, with a detailed accounting statement provided to Licensor.

4. Licensor’s Representations & Warranties Licensor represents and warrants that: (a) They are the sole owner or have the legal right to license the Content. (b) The Content does not infringe any third-party rights. (c) They shall not grant any conflicting licenses during the Term.

5. Licensee’s Obligations (a) Licensee shall use commercially reasonable efforts to market and secure monetization opportunities for the Content. (b) Licensee shall not alter the Content without prior written consent from Licensor.

6. Ownership Licensor retains full ownership of the Content, including copyrights and publishing rights. This agreement only grants licensing and distribution rights to Licensee.

7. Accounting & Audit Rights Licensor shall have the right to audit Licensee’s records related to the monetization and licensing of the Content upon reasonable notice, no more than once per year.

8. Indemnification Each party agrees to indemnify, defend, and hold harmless the other from any claims, damages, or losses arising out of a breach of this Agreement.

9. Termination (a) Either party may terminate this Agreement with 7 days' written notice if the other party materially breaches any term and fails to remedy such breach. (b) Upon termination, Licensee shall cease licensing the Content, and any pending payments shall be settled within 30 days.

10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of North Carolina.

11. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
